Maintenance Contracts – Terms and Conditions

In these conditions, unless the context requires otherwise:

  • “Buyer” means the company, firm, body or person purchasing the Services from IC Web People.
  • “Contract” means a contract, subject to these conditions, for the provision of the Services between IC Web People and the Buyer.
  • IC Web People means Dual Limited (company number 06943952) parent company and any subsidiary or agent of IC Web People through which the Services are sold.
  • “Order” means a purchase order in respect of the Services completed or agreed by the Buyer and submitted to IC Web People, together with all documents referred to in it. Alternativley, as agreed on the telephone and invoiced for.
  • “Services” means the subject matter of each Contract between the Buyer and IC Web People, being the work and/or services or any of them to be performed by IC Web People for the Buyer pursuant to the Order.
  • “Standard Form” means IC Web People standard form of Order.

Standard Terms for ALL Maintenance Packages

  1. The buyer is solely responsible for the clarity of any changes which are required. Appropriate documentation should be provided to explain the required changes and IC Web People cannot be held responsible for any miss communication or error arising from the procedures in place.
  2. All changes and documentation explaining changes should be emailed once a month to our dedicated address – changes @ icwebpeople This email is monitored exclusively by our content editing technicians and any technical queries, questions or other information requests should be sent to our normal email address – info @ icwebpeople
  3. The minimum contract term for our maintenance packages is 12 Months, if you wish to end the contract early you will be still be subject to either the remaining monthly charges or a cancellation fee of £150, whichever is greater.
  4. If the buyer exceeds the agreed amount of changes, according to the package they have chosen they will be notified and a more suitable package will be recommended.
  5. IC Web People will determine what is seen to be “fair” changes and will ultimately decide if the amount of work is exceeding the agreed amount.
  6. Any Buyer on the third tier package with “Unlimited” changes is subject to a fair usage policy, fair usage will be determined by us and any user exceeding this will be subject to additional charges ( a notification will be given before this occurs)
  7. Changes do not “roll over” It is the sole responsibility of the Buyer to provide the changes on a monthly basis if so required and if no changes are provided, the buyer will still be charged.
  8. It is the responsibility of the Buyer to ensure the web site which you have bought the maintenance package for has been fully backed up. It is not the responsibility of IC Web People. *The only exception is customers of IC Web People who have a hosting package and website which was purchased from IC Web People.
  9. IC Web People will not be held responsible for any damage resulting from changes made to your website. You must keep full and regular back ups of all web content and you must agree to do so each month before you send your required changes. This includes the ftp content, any database content and any other online information which you feel should be backed up.
  10. While IC Web People will endeavour to complete all changes within 24 hours we cannot provide a guarantee for this.
  11. On agreeing to take a maintenance package with IC Web People you agree that we have full control of the website and are not working alongside a third part web provider.
  12. IC Web People are not to be held responsible for errors arising after changes have been made including errors which are as a result of exposing existing “flaws” in the websites coding.
  13. Once the package has been agreed and the initial invoice sent, it is the responsibility of the buyer to provide all user names and passwords required for making the changes. These will typically consist of the following:




  1. Any notice or other communication to be given under these conditions must be in writing and may be delivered or sent by prepaid first class letter post or facsimile transmission.
  2. Any notice or document shall be deemed served: if delivered, at the time of delivery; if posted, 48 hours after posting; and if sent by facsimile transmission, at the time of transmission.


The invalidity, illegality or un-enforceability of any provision of these conditions should not affect the other conditions.

Third Party Rights

A person who is not party to this agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement. This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.

Law & Jurisdiction

The Contract shall be governed by and construed in all respects in accordance with English law and the parties hereby submit to the exclusive jurisdiction of the English courts.

These conditions are updated on a regular basis and it is the responsibility of the buyer to visit this page and keep up to date on any changes.
